Last updated: 13/10/2026
1. Definitions
- “Platform”: the SmartChatAssistant service, accessible at app.smartchatassistant.com.
- “Owner”: Gabriele Ferrari, VAT IT03615520362.
- “User”: any natural or legal person who registers and uses the Platform.
- “AI Assistant”: a chatbot configured by the User within the Platform.
- “Visitor”: the end user who interacts with an AI Assistant through the chat widget.
2. Acceptance of Terms
By registering and using SmartChatAssistant, you fully accept these Terms of Service. If you do not accept one or more terms, please do not use the Platform.
3. Service Description
SmartChatAssistant is a SaaS platform that allows Users to:
- Create and configure custom AI assistants.
- Train assistants with knowledge bases, FAQs, and documents.
- Integrate a chat widget on their websites.
- Capture leads and manage automated conversations.
- Analyze performance through an analytics dashboard.
- Configure automated actions (AI Actions) and webhooks.
4. Registration and Account
- Registration is free and requires a valid email address.
- The User is responsible for the security of their login credentials.
- Each account is personal and non-transferable.
- The User must be at least 18 years old or the legal age to enter contracts in their country.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Plans and Payments
The Platform offers the following plans:
- Free: free of charge, with usage limits (100 AI messages/month, 50 messages/day per assistant).
- Pro: €29/month, with advanced features and higher limits.
- Ultra: €99/month, for intensive use and teams.
Payments are managed through Stripe. Subscriptions automatically renew at expiry. The User may cancel the subscription at any time; the service will remain active until the end of the already paid period.
Prices may be modified with 30 days' notice via email.
6. Credits and Usage Limits
Each plan includes a monthly credit allowance, expressed in “AI messages”. One AI message (equal to one credit) corresponds to one reply generated by the artificial intelligence on a standard model. The following are considered standard models: gpt-4.1-nano, gpt-4o-mini, gpt-4.1-mini, gemini-2.5-flash-lite, gemini-3.1-flash-lite, gemini-2.5-flash, gemini-3-flash-preview and the free models available through OpenRouter.
Each reply generated on a premium model (including, by way of example, GPT-4o, GPT-4.1, Gemini Pro models, gemini-3.5-flash, any paid model available through OpenRouter and any custom model identifier) is charged as 5 AI messages.
Where the sum of the context sent to the model and the generated reply exceeds 8,000 tokens, the charge is multiplied by the number of 8,000-token steps, or part thereof, actually used (for example, a 12,000-token reply is charged as 2 AI messages on a standard model and as 10 AI messages on a premium model).
Unused credits are non-cumulative and expire at the end of each billing cycle.
Exceeding daily message limits will result in temporary suspension of the chat service until the following day.
7. Acceptable Use
The User agrees not to use the Platform for:
- Illegal, fraudulent activities, or activities that violate third-party rights.
- Generating offensive, discriminatory, defamatory, or illegal content.
- Spam, phishing, or unauthorized collection of personal data.
- Attempting to compromise the security of the Platform or other users.
- Reselling access to the service without authorization.
- Intentionally exceeding plan limits through automated methods.
8. Intellectual Property
The Platform, its source code, design, logo, and original content are the exclusive property of the Owner.
The User retains full ownership of their data, knowledge base content, FAQs, and conversations. The User grants the Owner a limited license to process such data solely for the purpose of providing the service.
9. User Responsibility
The User is the Data Controller for data collected through their AI Assistants (Visitor data and leads). It is their responsibility to:
- Inform Visitors about data processing through their own privacy policy.
- Collect Visitor consent where required by applicable regulations.
- Ensure the legality of content uploaded to the knowledge base.
- Verify the accuracy of AI-generated responses.
10. Limitation of Liability
SmartChatAssistant is provided “as is.” The Owner does not guarantee:
- The accuracy, completeness, or reliability of AI-generated responses.
- Uninterrupted service availability (no SLA guaranteed on the Free plan).
- The absence of errors, bugs, or vulnerabilities.
In no event shall the Owner be liable for indirect, incidental, consequential, or punitive damages arising from the use of the Platform. Maximum liability is limited to the amount paid by the User in the 12 months preceding the event.
11. Third-Party AI Providers
The Platform uses third-party AI services (OpenAI, Google, OpenRouter). The use of such services is subject to their respective terms of service. The Owner is not responsible for changes, interruptions, or limitations imposed by such providers.
12. Account Deletion
The User may request account deletion at any time from the Account section of the dashboard. Deletion entails:
- Removal of all assistants, knowledge bases, conversations, and leads.
- Immediate revocation of access to the Platform.
- Deletion of personal data within 30 days (except where required by law).
13. Changes to Terms
We reserve the right to modify these Terms at any time. Substantial changes will be communicated via email with at least 15 days' notice. Continued use of the service after the effective date of changes constitutes acceptance thereof.
14. Governing Law and Jurisdiction
These Terms are governed by Italian law. For any dispute arising from the use of the Platform, the exclusive jurisdiction shall be the Court of Modena, unless otherwise provided by mandatory consumer protection law.
